# TERMS AND CONDITIONS - OWN BRANDING CHAPTER

## 1. INTRODUCTION

These Terms and Conditions ("Terms") govern your subscription to and use of the "Own Branding" chapter ("Service") provided by VistarKriya Marketing Private Limited ("VistarKriya", "we", "us", or "our") as part of the multi-tenant SaaS platform. By subscribing to this chapter, you ("Subscriber", "you", or "your") agree to be bound by these Terms.

## 2. SERVICE DESCRIPTION

The Own Branding chapter allows Subscribers to:
- Remove default VistarKriya branding from their tenant website
- Add custom branding text in the footer section
- Display their own company name and credits
- Customize the "Designed and Managed by" attribution

## 3. SUBSCRIPTION REQUIREMENTS

3.1. **Eligibility**: This service is only available to:
- Tenants with active custom domain setup
- Tenants with active paid subscription plans (not available on trial)
- Tenants in good standing with all payment obligations

3.2. **Technical Requirements**:
- Valid custom domain properly configured
- Active SSL certificate
- Compliance with platform technical standards

## 4. USAGE RIGHTS AND RESTRICTIONS

4.1. **Permitted Use**:
- Display your legitimate business name and branding
- Add appropriate business attribution text
- Include your company's copyright notice
- Link to your company's official website

4.2. **Prohibited Use**: You may NOT:
- Impersonate another business or entity
- Use misleading or false company information
- Include inappropriate, offensive, or illegal content
- Remove platform's technical/security attributions if any
- Claim ownership of the platform software itself
- Use branding that infringes on third-party rights

## 5. BRANDING GUIDELINES

5.1. **Content Standards**: Your custom branding must:
- Be truthful and accurate
- Comply with all applicable laws and regulations
- Not infringe on any third-party intellectual property rights
- Maintain professional standards
- Not contain malicious code or scripts

5.2. **Platform Rights**: VistarKriya reserves the right to:
- Review and approve custom branding content
- Reject or remove inappropriate branding
- Maintain small technical attribution for security/compliance (if required)

## 6. INTELLECTUAL PROPERTY

6.1. **Your Content**: You retain all rights to your custom branding content. By using this service, you grant VistarKriya a limited license to display your branding on your tenant website.

6.2. **Platform IP**: The underlying platform, software, and technology remain the exclusive property of VistarKriya. This subscription does not transfer any ownership rights in the platform itself.

6.3. **Representation**: You represent and warrant that you have all necessary rights to use the branding content you submit.

## 7. BILLING AND PAYMENT

7.1. **Subscription Fees**:
- Monthly subscription: As per current pricing
- Annual subscription: As per current pricing with applicable discounts
- Fees are non-refundable except as required by law

7.2. **Billing Cycle**:
- Charges occur at the beginning of each billing period
- Automatic renewal unless cancelled
- Price changes with 30 days notice

## 8. TERM AND TERMINATION

8.1. **Term**: Subscription continues until cancelled by either party

8.2. **Termination by Subscriber**:
- Cancel anytime through admin panel
- Effective at end of current billing period
- No refund for partial periods

8.3. **Termination by VistarKriya**: We may terminate for:
- Non-payment
- Violation of these Terms
- Misuse of the service
- Fraudulent or illegal activity

8.4. **Effect of Termination**:
- Custom branding removed immediately
- Default VistarKriya branding restored
- No impact on other platform services

## 9. DATA AND PRIVACY

9.1. **Data Handling**: Your branding data is:
- Stored securely in our database
- Backed up regularly
- Accessible only to authorized personnel
- Subject to our Privacy Policy

9.2. **Data Retention**: Upon termination:
- Branding data retained for 30 days
- Permanently deleted thereafter
- Export available upon request

## 10. DISCLAIMERS AND WARRANTIES

10.1. **Service Provided "AS IS"**: The Own Branding service is provided without warranties of any kind, either express or implied.

10.2. **No Guarantee**: We do not guarantee:
- Uninterrupted service availability
- Compatibility with all browsers/devices
- Specific SEO or marketing outcomes

## 11. LIMITATION OF LIABILITY

11.1. **Limited Liability**: Our total liability shall not exceed the amount paid for this service in the 12 months preceding the claim.

11.2. **No Consequential Damages**: We are not liable for any indirect, incidental, special, or consequential damages.

## 12. INDEMNIFICATION

You agree to indemnify and hold VistarKriya harmless from any claims arising from:
- Your use of custom branding
- Violation of these Terms
- Infringement of third-party rights
- False or misleading branding information

## 13. COMPLIANCE

13.1. **Legal Compliance**: You must ensure your branding complies with:
- Local business registration requirements
- Advertising and marketing laws
- Consumer protection regulations
- Intellectual property laws

13.2. **Platform Policies**: Adherence to all platform terms of service and acceptable use policies is required.

## 14. MODIFICATIONS

14.1. **Terms Updates**: We may update these Terms with 30 days notice for material changes.

14.2. **Service Changes**: We reserve the right to modify service features with reasonable notice.

## 15. SUPPORT

15.1. **Technical Support**: Available during business hours for technical issues.

15.2. **Branding Guidance**: Basic guidance provided; legal/creative consulting not included.

## 16. GOVERNING LAW

These Terms are governed by the laws of India and any disputes shall be subject to the exclusive jurisdiction of courts in [Your City], India.
