Terms of Service

To become a Tenant and use our platform, you must:

• Complete the signup process at /signup
• Provide accurate business information (name, email, phone, GST/PAN)
• Choose a unique 6-digit tenant code or custom domain
• Select a subscription plan (free or paid)
• Agree to our Privacy Policy and these Terms

When Tenants activate the B2B Customer Module, they can create customer accounts with:

• Customer name, email, phone, and business details
• Passwordless authentication (OTP-based login)
• Access to customer portal at /app
• Ability to view services, upload documents, make payments

Tenants can create multiple user accounts with different roles:

Admins are responsible for managing user access and ensuring employees only have necessary permissions.

You may terminate your account at any time by:

• Contacting support at hello@vistarkriya.com
• Submitting a deletion request through your dashboard
• Canceling your subscription and waiting for the period to expire

Upon termination:

• Your data will be retained for 30 days for recovery purposes
• Financial records will be retained for 7 years (legal requirement)
• No refunds will be issued for unused subscription periods (unless covered by our Refund Policy)
• Custom domains must be transferred or released

Uptime Commitment

We strive to maintain 99.9% uptime for our platform. However, we do not guarantee uninterrupted service and are not liable for:

• Scheduled maintenance (announced at least 24 hours in advance)
• Emergency maintenance for security or critical bugs
• Third-party service failures (payment gateways, CDN, SMS providers)
• Internet connectivity issues beyond our control
• Force majeure events (natural disasters, wars, pandemics, etc.)

Service Modifications

We reserve the right to modify, suspend, or discontinue any feature or service with or without notice. We will provide reasonable advance notice for significant changes that materially impact your use of the platform.

Beta Features

We may offer beta or experimental features marked as "Beta", "Alpha", or "Experimental". These features are provided "as-is" without warranties, and we may discontinue them at any time without liability.

Our platform uses a multi-tenant architecture where:

• Strict Data Isolation: Each tenant's data is isolated using tenant_id filtering at the database level
• No Cross-Tenant Access: Tenants cannot view or access other tenants' data
• Subdomain/Custom Domain: Each tenant gets a unique URL (e.g., 123456.vistarkriya.com or yourdomain.com)
• Shared Infrastructure: Database, servers, and backend teams are shared across all tenants

You acknowledge and accept that this is a shared infrastructure model, though your data remains isolated and secure.

We accept payments through:

Automatic Renewals

Unless you disable auto-renewal, your subscription will automatically renew at the end of each billing period using your wallet balance. We will send reminders 7 days and 1 day before renewal.

Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation:

• You retain access until the end of the paid period
• No refunds for unused time (unless covered by refund policy)
• Auto-renewal will be disabled
• Your account will be downgraded to free plan or suspended

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply to renewals after the notice period. If you do not agree to the price change, you may cancel your subscription before the renewal date.

We will provide GST-compliant invoices for all payments. Invoices are available for download from your dashboard and will be emailed to your registered email address.

You are responsible for:

• Providing accurate GST/PAN details
• Maintaining your own tax records
• Complying with local tax laws in your jurisdiction

We will retain financial records for 7 years as required by Indian law.

Tenants can request wallet withdrawal subject to the following conditions:

• Minimum withdrawal amount: ₹500
• Processing time: 5-7 business days
• Bank account verification required
• Deduction of applicable charges (processing fees, TDS if applicable)
• Withdrawal requests may be rejected if account has pending obligations

• Monitor user-generated content for compliance with these Terms
• Remove or disable access to any content that violates these Terms
• Suspend or terminate accounts engaged in prohibited activities
• Report illegal activities to appropriate authorities
• Cooperate with law enforcement investigations

We are not obligated to monitor content but may do so at our discretion. We are not responsible for user-generated content.

The platform, including all software, code, design, logos, trademarks, and documentation, is owned by VistarKriya Marketings Private Limited and protected by Indian and international copyright, trademark, and intellectual property laws.

You acknowledge that:

• We grant you a limited, non-exclusive, non-transferable license to use the platform
• You do not acquire any ownership rights to the platform
• You may not reverse engineer, decompile, or extract source code
• You may not create derivative works based on our platform
• You may not resell or redistribute the platform software

You retain full ownership of all content you create and upload to the platform, including:

• Text, images, videos, and other media
• Pages, blog posts, and service descriptions
• Customer data and business information
• Logos, branding, and marketing materials

"VistarKriya" and related logos are registered trademarks of VistarKriya Marketings Private Limited. You may not use our trademarks without prior written permission, except:

• Using "Powered by VistarKriya" badge (if enabled in your plan)
• Mentioning our platform in truthful descriptions of your services
• Referencing us in case studies or testimonials (with our approval)

You may not:

• Imply endorsement or partnership without written agreement
• Use our trademarks in domain names
• Modify or combine our trademarks with other marks
• Use our trademarks in a way that causes confusion

We respect intellectual property rights and expect our users to do the same. If you believe content on our platform infringes your copyright, please send a notice to hello@vistarkriya.com with:

• Your contact information
• Description of the copyrighted work
• URL of the allegedly infringing content
• Statement of good faith belief
• Statement of accuracy under penalty of perjury
• Your physical or electronic signature

We will investigate and may remove infringing content. Repeat infringers will have their accounts terminated.

You may terminate your account at any time by:

• Sending a termination request to hello@vistarkriya.com
• Using the account deletion feature in your dashboard
• Canceling your subscription and allowing it to expire

We may suspend or terminate your account immediately if:

If your account was suspended (not terminated), you may request reinstatement by:

• Resolving the issue that caused suspension
• Paying all outstanding dues
• Providing assurances of future compliance
• Contacting support at hello@vistarkriya.com

Reinstatement is at our sole discretion. Repeat violations may result in permanent termination.

Before terminating your account, we recommend exporting your data:

• Use the data export feature in your dashboard
• Download all uploaded media files
• Export customer lists, leads, and transaction records
• Save copies of invoices and financial documents

After termination, you have 30 days to request a final data export. After this period, we may permanently delete your data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties that defects will be corrected
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that the service will meet your requirements

We do not warrant that:

• The platform will be secure or free from bugs, viruses, or malware
• Your data will never be lost or corrupted (though we take precautions)
• Third-party integrations (payment gateways, SMS providers) will always work
• Backend teams will process every request successfully

Our platform integrates with third-party services including:

• Payment Gateways: Razorpay, PayU, PhonePe, Paytm
• Loan Providers: Bank Sathi, Inspay
• CDN: BunnyCDN
• SMS/Email Providers: Various SMTP and SMS services

We are not responsible for:

• Failures, delays, or errors in third-party services
• Terms and policies of third-party providers
• Security breaches at third-party systems
• Loan application rejections by lending partners
• Payment processing failures or delays

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall NOT be liable for any:

You agree to indemnify, defend, and hold harmless VistarKriya Marketings Private Limited, its directors, officers, employees, agents, and backend teams from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of any laws or regulations
• Content you upload or publish through the platform
• Your business activities and transactions with your customers
• Disputes with your B2B customers
• Intellectual property infringement claims
• Data protection violations (if you mishandle customer data)

This indemnification survives termination of your account.

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including:

• Natural disasters (earthquakes, floods, fires, pandemics)
• War, terrorism, civil unrest, or government actions
• Power outages, internet failures, or telecom disruptions
• Third-party service failures (data centers, cloud providers)
• Cyberattacks, DDoS attacks, or hacking attempts
• Labor strikes or shortages

During force majeure events, our obligations will be suspended for the duration of the event.

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

You irrevocably consent to the jurisdiction and venue of such courts and waive any objections based on inconvenient forum.

Informal Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at hello@vistarkriya.com. We will work in good faith to resolve your concerns within 30 days.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

• Language of arbitration: English
• Number of arbitrators: One
• Arbitration fees shall be borne equally by both parties
• The arbitral award shall be final and binding

Exceptions to Arbitration

Either party may seek injunctive relief in court for:

• Intellectual property infringement
• Breach of confidentiality
• Unauthorized access or security breaches
• Collection of overdue payments

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets. We will notify you of such assignment.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VistarKriya Marketings Private Limited regarding the Service and supersede all prior agreements, understandings, and communications.

No amendment to these Terms is valid unless made in writing and signed by an authorized representative of the Company.

These Terms are written in English. We may provide translations for your convenience, but in case of any conflict between the English version and a translation, the English version shall prevail.

• In-app notifications or dashboard alerts
• Prominent banner on the platform
• SMS to your registered phone number

Notices are deemed delivered:

• Email: 24 hours after sending
• In-app: Upon display
• SMS: Immediately upon sending

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and VistarKriya Marketings Private Limited. You have no authority to bind us or make commitments on our behalf.

If you are a government entity or large enterprise requiring custom terms (such as different liability caps, data residency requirements, or SLA guarantees), please contact us at hello@vistarkriya.com to discuss a separate Enterprise Agreement.
