By subscribing to this chapter, you ("Subscriber", "you", or "your") agree to be bound by these Terms.

- **Lead Generation Platform**: Comprehensive system for financial services lead generation and referral
- **Form Builder**: Dynamic form creation using master field library
- **Document Management**: Complete document collection and verification workflow
- **Analytics Dashboard**: Real-time performance tracking and commission management
- **Product Catalog**: Access to financial products across multiple categories

**IMPORTANT DISCLAIMER**: VistarKriya is solely a technology platform and mediator. We do not provide loans, credit cards, or any financial products directly. All financial products are provided by third-party financial institutions. We make no guarantees regarding loan approvals, interest rates, or any financial commitments.

## 3. SUBSCRIPTION REQUIREMENTS

3.1. **Eligibility**: This service is available to:
- Active paid tenants with valid business registration
- Tenants in good standing with all payment obligations
- Businesses engaged in legitimate financial services intermediation
- Entities with proper regulatory compliance (where applicable)

3.2. **Technical Requirements**:
- Active internet connection for API integrations
- Valid business email for notifications
- Compliance with data protection regulations
- Proper KYC documentation as required by providers

## 4. PERMITTED USES AND RESTRICTIONS

4.1. **Permitted Activities**:
- Generate leads for legitimate financial products
- Use provided forms and tools for customer data collection
- Track and manage lead performance and commissions
- Access analytics and reporting features
- Submit applications to integrated providers

4.2. **Prohibited Activities**: You may NOT:
- Submit false, misleading, or fraudulent applications
- Violate any provider-specific terms and conditions
- Use the service for money laundering or illegal financial activities
- Spam or harass potential customers
- Attempt to bypass or hack the system
- Share login credentials with unauthorized persons
- Use automated bots for lead generation without approval
- Submit duplicate or test applications to live providers
- Make any guarantees about loan approvals or financial products to customers
- Represent yourself as a direct lender or financial product provider

## 5. DATA HANDLING AND PRIVACY

5.1. **Customer Data Protection**:
- You are responsible for obtaining proper consent from customers
- Must comply with applicable data protection laws (GDPR, DPDP Act, etc.)
- Ensure secure handling of sensitive financial information
- Maintain confidentiality of customer personal and financial data

5.2. **Data Sharing with Providers**:
- Customer data will be shared with selected financial service providers
- Data sharing occurs only with customer consent and for legitimate purposes
- Providers may have their own privacy policies and terms
- You acknowledge and accept provider data handling practices

5.3. **Data Retention**:
- Lead data retained as per regulatory requirements
- Customer documents stored securely with encryption
- Data deletion available upon valid request
- Compliance with right to be forgotten where applicable

## 6. COMMISSION AND FINANCIAL TERMS

6.1. **Commission Structure**:
- Commissions are paid by third-party providers, not by VistarKriya
- Commission rates vary by provider and product type
- Payments subject to provider terms and verification processes
- **NO GUARANTEE** of commission amounts, payment timing, or commission eligibility
- Commission payments depend entirely on provider policies and lead quality

6.2. **Financial Compliance**:
- You are responsible for proper tax reporting of earned commissions
- Must maintain records as required by tax authorities
- Comply with all applicable financial regulations
- Report suspicious financial activities as required by law

6.3. **No Financial Product Guarantees**:
- **VistarKriya makes NO guarantees** regarding loan approvals, disbursements, or any financial product outcomes
- We are solely a technology mediator connecting customers with financial service providers
- All financial decisions are made exclusively by third-party providers
- Interest rates, loan amounts, and terms are determined by providers, not VistarKriya

## 7. PROVIDER RELATIONSHIPS

7.1. **Third-Party Providers**:
- API providers and other financial service providers are independent entities
- Provider terms and conditions apply in addition to these Terms
- **VistarKriya is NOT responsible** for provider actions, decisions, or financial product outcomes
- Lead approval/rejection decisions are made solely by providers
- **We do not guarantee loan approvals, interest rates, or disbursements**

7.2. **Mediator Role**:
- VistarKriya acts solely as a technology platform and mediator
- We facilitate connections between customers and financial service providers
- We do not influence provider decisions or financial product terms
- All financial products are provided directly by third-party institutions
- **We make no commitments regarding financial product availability or approval**

## 8. COMPLIANCE AND REGULATORY

8.1. **Regulatory Compliance**:
- Must comply with RBI guidelines for financial intermediaries
- Adhere to consumer protection regulations
- Follow advertising and marketing compliance requirements
- Maintain proper business licenses as required

8.2. **KYC and Documentation**:
- Ensure proper customer KYC documentation
- Verify customer information accuracy
- Maintain audit trails for all transactions
- Cooperate with regulatory inquiries

## 9. SERVICE AVAILABILITY AND LIMITATIONS

9.1. **Service Level**:
- Service provided on "best effort" basis
- API integrations subject to provider availability
- Scheduled maintenance may cause temporary disruptions
- No guarantee of uninterrupted service

9.2. **Technical Limitations**:
- Form submissions subject to provider acceptance criteria
- Document upload size and format restrictions apply
- API rate limits may affect high-volume usage
- Browser compatibility requirements

## 10. INTELLECTUAL PROPERTY

10.1. **Platform IP**: The Click & Credit Services platform, software, and technology remain the exclusive property of VistarKriya.

10.2. **Your Content**: You retain rights to your business information and customer data, subject to the limited license granted for service provision.

10.3. **Provider Content**: Product information and branding belong to respective providers.

## 11. BILLING AND PAYMENT

11.1. **Subscription Fees**:
- Monthly: ₹599 + applicable taxes
- Yearly: ₹999 + applicable taxes (Save 86%)
- Lifetime: ₹3,999 + applicable taxes (One-time payment)

11.2. **NO REFUND POLICY**:
- **ALL SUBSCRIPTION FEES ARE STRICTLY NON-REFUNDABLE**
- No refunds will be provided under any circumstances once payment is made
- This applies to all subscription types (monthly, yearly, lifetime)
- No refunds for unused service periods, technical issues, or dissatisfaction
- No refunds if providers reject applications or change their terms
- **By subscribing, you acknowledge and accept this no-refund policy**

11.3. **Payment Terms**:
- Fees charged at the beginning of each billing period
- Automatic renewal unless cancelled (no refund for current period)
- Price changes with 30 days advance notice
- Cancellation stops future billing but does not refund current period

## 12. TERM AND TERMINATION

12.1. **Subscription Term**: Continues until cancelled by either party

12.2. **Cancellation Rights**:
- Cancel anytime through admin panel
- Effective at end of current billing period
- **NO REFUND** for unused portion of any paid period
- Service access continues until end of paid period

12.3. **Termination for Cause**:
- Immediate termination for violations of these Terms
- Non-payment or fraudulent activity
- Regulatory or provider-mandated removal
- Misuse of service or security violations

12.4. **Effect of Termination**:
- Immediate loss of access to service features
- Data retention for 90 days for compliance purposes
- Outstanding commissions subject to provider policies
- Export of data available upon reasonable request

## 13. DISCLAIMERS AND WARRANTIES

13.1. **Service Disclaimers**:
- Service provided "AS IS" without any warranties
- **NO GUARANTEE** of lead approval, loan disbursement, or commission payment
- **NO GUARANTEE** of financial product availability or approval
- Provider decisions are final and binding
- No warranty of continuous service availability
- **VistarKriya is only a mediator and makes no financial commitments**

13.2. **Financial Product Disclaimers**:
- **NO GUARANTEE** of loan approvals, credit card approvals, or any financial product outcomes
- **NO GUARANTEE** of specific interest rates, loan amounts, or terms
- Provider commission structures may change without notice
- Lead approval depends entirely on provider criteria and policies
- Market conditions and regulatory changes may affect service availability
- **We are not liable for any financial product rejections or changes in terms**

## 14. LIMITATION OF LIABILITY

14.1. **Liability Cap**: Our total liability shall not exceed the fees paid for this service in the 12 months preceding the claim.

14.2. **Excluded Damages**: Not liable for indirect, consequential, or punitive damages, including lost profits, business opportunities, or financial product rejections.

14.3. **Provider Actions**: **NOT RESPONSIBLE** for provider decisions, delays, commission payment issues, loan rejections, or any financial product outcomes.

14.4. **Mediator Limitations**: As a mediator platform, we are not liable for any financial commitments, loan terms, interest rates, or disbursement issues.

## 15. INDEMNIFICATION

You agree to indemnify VistarKriya from claims arising from:
- Your use of the service
- Violation of these Terms or applicable laws
- Customer disputes or regulatory actions
- Data protection violations
- False or misleading information provided

## 16. DISPUTE RESOLUTION

16.1. **Governing Law**: These Terms are governed by Indian law.

16.2. **Dispute Resolution**:
- First attempt resolution through direct negotiation
- Mediation through recognized mediation center
- Arbitration under Indian Arbitration and Conciliation Act
- Jurisdiction: Courts in Indore, Madhya Pradesh, India

## 17. MISCELLANEOUS

17.1. **Updates**: We may update these Terms with 30 days notice for material changes.

17.2. **Severability**: Invalid provisions do not affect enforceability of remaining terms.

17.3. **Force Majeure**: Not liable for delays due to circumstances beyond reasonable control.

17.4. **Assignment**: These Terms cannot be assigned without written consent.
