TERMS AND CONDITIONS - STYLE DESIGN LIBRARY CHAPTER

1. INTRODUCTION
These Terms and Conditions ("Terms") govern your subscription to and use of the "STYLE - Design Library" chapter ("Service") provided by VistarKriya Marketing Private Limited ("VistarKriya", "we", "us", or "our") as part of the multi-tenant SaaS platform. By subscribing to this chapter, you ("Subscriber", "you", or "your") agree to be bound by these Terms.
2. SERVICE DESCRIPTION
The STYLE Design Library chapter provides:

Access to a curated collection of professional design materials
Digital downloads of marketing assets including logos, banners, social media templates, brochures, business cards, presentations, and other branding materials
Regular updates with new design content added by our designer community
Multiple file formats suitable for various professional uses
Commercial usage rights for downloaded materials

IMPORTANT: This is a digital content download service. All materials are digital assets delivered electronically. No physical products are shipped.
3. SUBSCRIPTION AND PRICING
3.1. Subscription Plans:

Monthly: Rs 99 + applicable GST (18%)
Yearly: Rs 999 + applicable GST (18%)
Lifetime: Rs 9,999 + applicable GST (18%) - One-time payment

3.2. Payment Terms:

All fees are charged in advance at the beginning of each billing period
Automatic renewal applies for monthly and yearly plans unless cancelled
Payment must be completed before accessing download features
All prices are subject to applicable taxes as per Indian tax laws

4. DOWNLOAD LIMITATIONS AND USAGE RESTRICTIONS
4.1. Daily Download Limit:

Subscribers can download a MAXIMUM OF 5 (FIVE) design materials per day
The daily limit counter resets at midnight (00:00 hours) IST every day
This limit applies regardless of subscription type (monthly, yearly, or lifetime)
Unused downloads do NOT carry forward to the next day

4.2. Download Limit Changes:

VistarKriya reserves the absolute right to change the daily download limit at any time
Changes to download limits can be made WITHOUT PRIOR NOTICE to subscribers
We may increase or decrease limits based on operational requirements, server capacity, content availability, or business decisions
Subscribers will NOT be entitled to refunds if download limits are reduced
Current download limits will be displayed in your account dashboard

4.3. Technical Download Process:

Downloads are delivered instantly via our Content Delivery Network (CDN)
Each successful download counts toward your daily limit
Failed or interrupted downloads may still count toward your limit
No refunds or limit adjustments for download errors or technical issues on subscriber's end

5. LICENSE GRANT AND PERMITTED USE
5.1. Commercial License:

Upon downloading, you receive a non-exclusive, worldwide, perpetual commercial license to use the design materials
License is granted to you personally or to your business entity
License remains valid even after subscription ends for materials already downloaded
License cannot be transferred, sold, or assigned to third parties

5.2. Permitted Uses:
You MAY use downloaded materials for:

Marketing and advertising campaigns
Social media content and posts
Business branding and identity materials
Print materials (brochures, flyers, business cards, etc.)
Website graphics and web banners
Email marketing templates
Presentations and pitch decks
Internal business communications
Client projects (if you are an agency or service provider)
Modification and customization to suit your needs

5.3. Prohibited Uses:
You may NOT:

Resell, redistribute, or share the original design files with others
Upload designs to other stock photo or template websites
Claim ownership or authorship of the original designs
Use designs in any illegal, defamatory, or offensive manner
Create competing design template platforms using our materials
Remove or alter copyright information (if present)
Use designs in trademark or logo registration without significant modification
Bundle or package designs for resale as templates
Share your account credentials to allow others to download

6. INTELLECTUAL PROPERTY RIGHTS
6.1. Copyright Ownership:

All designs remain the intellectual property of the original designers and VistarKriya
You receive usage rights only, not ownership of the original works
Designers retain all copyrights to their creative work
VistarKriya retains platform and distribution rights

6.2. Your Modified Work:

You own the rights to your modified versions of the designs
Your modifications and customizations belong to you
Original design elements remain subject to the license terms

6.3. Trademark Protection:

Some designs may contain trademarked elements
You are responsible for ensuring your use complies with trademark laws
VistarKriya is not liable for any trademark infringement claims

7. CONTENT QUALITY AND AVAILABILITY
7.1. Quality Standards:

All designs are reviewed and approved by our team before being made available
We strive to maintain high-quality standards for all materials
However, we do NOT guarantee that every design will meet your specific requirements
Design quality, style, and suitability are subjective and may vary

7.2. Content Updates:

New designs are added regularly (typically weekly)
We aim to continuously expand our design library
No guarantee of specific content types or quantities being added
Some designs may be removed from the library at any time without notice

7.3. Format Availability:

Designs are available in multiple formats including PSD, AI, PNG, JPG, SVG, and PDF
Not all designs are available in all formats
Format availability depends on the original designer's submission
We do NOT provide custom format conversions upon request

8. DESIGNER COMMUNITY AND CONTENT CREATION
8.1. Third-Party Designers:

Many designs are created by independent third-party designers
VistarKriya acts as a platform to distribute these designs
Designers retain creative rights to their work
We ensure designers have proper rights to all submitted elements

8.2. Quality Control:

All submissions undergo approval process before publication
We verify originality and proper licensing of design elements
Designs must meet our quality and technical standards
Inappropriate or low-quality content is rejected

8.3. Attribution:

Designer attribution information may be included with some designs
Attribution to the designer is appreciated but not mandatory for use
Designer names are displayed for recognition purposes

9. NO REFUND POLICY
9.1. Strict No Refund Policy:

ALL subscription fees are STRICTLY NON-REFUNDABLE under any circumstances
This applies to all subscription types (monthly, yearly, lifetime)
No refunds will be provided for:

Change of mind or dissatisfaction with available designs
Technical issues on subscriber's end (internet, device, browser, etc.)
Inability to download due to daily limit being reached
Changes to download limits or service features
Unused subscription period
Duplicate or accidental purchases
Compatibility issues with your software
Design quality or style not meeting expectations



9.2. Digital Product Nature:

This is a digital content service with immediate access upon payment
Once payment is made and access is granted, the purchase is final
No returns or exchanges are possible due to the digital nature of the service

9.3. Acknowledgment:

By subscribing, you explicitly acknowledge and accept this no-refund policy
You understand that all sales are final
You agree to carefully review service features before subscribing

10. SUBSCRIBER RESPONSIBILITIES
10.1. Account Security:

Maintain confidentiality of your login credentials
Do not share your account with others
Notify us immediately of any unauthorized access
You are responsible for all activities under your account

10.2. Compliance:

Comply with all applicable laws and regulations when using downloaded designs
Ensure your use of designs does not infringe third-party rights
Obtain additional licenses if required for specific uses
Follow trademark and copyright laws in your jurisdiction

10.3. Technical Requirements:

Maintain compatible software to use downloaded design files
Ensure adequate internet connectivity for downloads
Have sufficient storage space for downloaded materials
Use modern, updated web browsers for best experience

11. PLATFORM AVAILABILITY AND LIMITATIONS
11.1. Service Availability:

We strive to maintain 24/7 service availability
However, we do NOT guarantee uninterrupted access
Scheduled maintenance may cause temporary disruptions
We will attempt to notify users of planned maintenance when possible

11.2. Technical Limitations:

Download speeds depend on your internet connection and CDN performance
File sizes vary and may be large for high-quality designs
Some designs may require specific software to edit (Adobe Creative Suite, etc.)
Browser compatibility requirements apply

11.3. Service Changes:

We may modify, update, or discontinue features at any time
Changes can be made WITHOUT PRIOR NOTICE to subscribers
We may add or remove design categories
User interface and navigation may be updated

12. DISCLAIMERS AND WARRANTIES
12.1. Service Provided "AS IS":

The STYLE Design Library is provided on an "AS IS" and "AS AVAILABLE" basis
We make NO warranties, express or implied, regarding:

Quality, accuracy, or suitability of designs for specific purposes
Uninterrupted or error-free service
Security of downloads or data transmission
Compatibility with your specific needs or software



12.2. Design Quality Disclaimer:

While we maintain quality standards, we do NOT guarantee:

Designs will meet your specific aesthetic preferences
Designs will be suitable for your particular business or industry
Color accuracy across different devices and printers
That designs will achieve specific marketing or business results



12.3. Third-Party Content:

Designs created by third-party designers are their independent work
We verify submissions but cannot guarantee absolute originality
We are not responsible for claims arising from third-party design content

13. LIMITATION OF LIABILITY
13.1. Liability Cap:

Our total liability for any claims shall NOT EXCEED the total amount paid by you for this service in the 12 months preceding the claim
For lifetime subscriptions, liability is capped at the one-time fee paid

13.2. Excluded Damages:

We are NOT liable for any indirect, incidental, special, consequential, or punitive damages including:

Lost profits or business opportunities
Loss of data or business information
Cost of substitute services
Business interruption
Reputational damage
Marketing or branding failures



13.3. Download Issues:

Not responsible for failed downloads due to your internet connection
Not liable for file corruption during download or storage
Not responsible for compatibility issues with your software or devices

13.4. Usage Consequences:

Not liable for any consequences arising from your use of downloaded designs
Not responsible for how you choose to implement or modify designs
Not liable for any legal issues arising from your use of designs

14. INDEMNIFICATION
14.1. Your Indemnification Obligation:
You agree to indemnify, defend, and hold harmless VistarKriya, our designers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use or misuse of downloaded designs
Violation of these Terms and Conditions
Infringement of third-party intellectual property rights
Violation of any applicable laws or regulations
False or misleading use of designs in your business
Any modifications you make to designs that create legal issues

15. SUBSCRIPTION MANAGEMENT
15.1. Cancellation Rights:

You may cancel your subscription at any time through your account dashboard
Cancellation is effective at the end of the current billing period
No refund for unused portion of current subscription period
Access continues until the end of the paid period
Downloaded materials remain licensed even after cancellation

15.2. Automatic Renewal:

Monthly and yearly subscriptions automatically renew
Renewal occurs on the same date each month/year
Credit card is charged automatically unless cancelled
You can disable auto-renewal in account settings

15.3. Payment Failure:

Subscription may be suspended if payment fails
Multiple payment attempts may be made
Access restored immediately upon successful payment
We are not responsible for bank or payment gateway issues

16. TERMINATION
16.1. Termination by VistarKriya:
We may immediately terminate or suspend your access for:

Violation of these Terms and Conditions
Fraudulent or illegal activities
Abuse of download limits or system manipulation
Sharing account credentials
Redistributing or reselling design files
Non-payment or payment disputes
Behavior harmful to the platform or other users

16.2. Effect of Termination:
Upon termination:

Immediate loss of access to the design library
No refund of subscription fees
License for already downloaded materials remains valid
Account data may be deleted after 30 days
Outstanding payments remain due

16.3. Survival of Terms:
The following sections survive termination:

License grants for downloaded materials
Intellectual property rights
Indemnification obligations
Limitation of liability
Dispute resolution provisions

17. MODIFICATIONS TO TERMS
17.1. Right to Modify:

We reserve the right to modify these Terms at any time
Material changes will be notified with 30 days advance notice
Continued use after changes constitutes acceptance
If you disagree with changes, you must cancel your subscription

17.2. Service Feature Changes:

Download limits, features, and content can change WITHOUT PRIOR NOTICE
We may add, modify, or remove service features at our discretion
Pricing changes for new subscribers announced with 30 days notice
Existing subscribers locked into pricing for current subscription period

18. DATA PROTECTION AND PRIVACY
18.1. Personal Information:

Your use of this service is subject to our Privacy Policy
We collect and process data necessary for service delivery
Payment information is processed by secure payment gateways
We do not store credit card information on our servers

18.2. Download Analytics:

We track download patterns for service improvement
Analytics help us understand popular content
Data is used in aggregate form for business insights
Individual usage patterns may be monitored to prevent abuse

18.3. Communication:

We may send service-related emails and notifications
Marketing emails can be unsubscribed from
Important account and security notices cannot be opted out
We will never sell or share your email with third parties

19. DISPUTE RESOLUTION
19.1. Governing Law:

These Terms are governed by the laws of India
Any disputes subject to jurisdiction of courts in Indore, Madhya Pradesh, India

19.2. Resolution Process:

First attempt resolution through our support system
Escalation to management if needed
Mediation before legal proceedings
Arbitration as per Indian Arbitration and Conciliation Act, 1996

19.3. Class Action Waiver:

Disputes must be brought individually, not as class actions
No consolidation with other subscribers' claims

20. GENERAL PROVISIONS
20.1. Entire Agreement:

These Terms constitute the complete agreement for the STYLE Design Library service
Supersedes all prior agreements and understandings
No verbal agreements or modifications are valid

20.2. Severability:

If any provision is found unenforceable, others remain in effect
Unenforceable provisions replaced with enforceable equivalent

20.3. Waiver:

No waiver of any term unless in writing and signed by VistarKriya
Failure to enforce any provision does not waive future enforcement

20.4. Assignment:

You may not transfer or assign these Terms or your subscription
We may assign our rights and obligations to affiliates or successors

20.5. Force Majeure:

Neither party liable for delays due to circumstances beyond reasonable control
Includes natural disasters, wars, pandemics, government actions, internet failures

21. SUPPORT AND CONTACT
21.1. Customer Support:

Technical support available during business hours
Support for download issues and account management
Help documentation and FAQs available
Response time typically within 24-48 hours

21.2. Not Included in Support:

Design customization or editing services
Software training (Photoshop, Illustrator, etc.)
Creative consultation or design advice
Legal advice on usage rights

23. ACCEPTANCE OF TERMS
By clicking "I Accept," "Subscribe," or by using the STYLE Design Library service, you acknowledge that you have:

Read and understood these Terms and Conditions in their entirety
Agree to be legally bound by all provisions
Understand the no-refund policy
Acknowledge the daily download limits
Accept that service features and limits may change without notice
Agree to use designs only as permitted by the license terms
